Terms of Use

1. Acceptance and Purpose

Kuppa enables consumers to discover, connect with, and receive discounts from specialty coffee shops on particular goods. Kuppa itself is a technology provider and is not a coffee shop, place of amusement, or similar establishment. Kuppa does not own, operate, or control any of the offerings that are offered at or through these facilities.

This document ("Agreement" or "Terms") sets forth the legally binding terms and conditions governing your access to and use of any Kuppa website, mobile application ("App"), or content (collectively, the "Services"). By accessing or using the Services, you, the user, acknowledge that you have read, understood, and agreed to be bound by these Terms.

THIS IS A LEGALLY BINDING AGREEMENT. PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE ACCESSING OR USING THE KUPPA APP OR SERVICES. BY ACCESSING OR USING THE SERVICES, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, AUTHORITY, AND CAPACITY TO ENTER INTO THIS AGREEMENT.

ARBITRATION NOTICE AND CLASS ACTION WAIVER: THIS AGREEMENT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT REQUIRE YOU TO ARBITRATE ALL DISPUTES ON AN INDIVIDUAL BASIS. YOU EXPRESSLY AGREE THAT DISPUTES BETWEEN YOU AND KUPPA SHALL BE RESOLVED EXCLUSIVELY BY BINDING, INDIVIDUAL ARBITRATION. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

2. Subscription and Payment Obligations

To access the full features of the App, you may subscribe to a paid plan. Your use of the Services is subject to the following payment obligations:

Free Tier: The free plan allows you to discover coffee shops, view a curated directory, and save, track, and rate cafés.

Premium Tier: The Premium plan is offered at a consideration of £4.99 per month. This plan grants you the right to seek one discount per day of up to 50% at participating partner coffee shops. Discounts are not guaranteed and are subject to availability, the specific items offered, and the terms and conditions determined by the partner coffee shop in its sole discretion.

Recurring Billing: By initiating a Premium subscription, you authorize Kuppa to charge your designated payment method on a recurring monthly basis at the then-current rate. You acknowledge and agree that your subscription will automatically renew each month unless canceled by you.

Payment Processor: Kuppa utilizes a third-party payment processor, RevenueCat, to handle all billing and payment transactions. You shall be bound by the terms, conditions, and privacy policies of the Payment Processor in addition to these Terms.

Payment & Refunds: All fees are non-refundable. Kuppa shall not be obligated to refund any fees for unused discounts or early termination of a subscription.

3. Representations, Warranties, and Covenants of the User

You hereby represent, warrant, and covenant that:

You are an individual of legal age to form a binding contract. You must be 18 years of age or older to use the App.
Your use of the Services is for your own personal, non-commercial use, and you will not transfer or gift any discounts or account access to third parties.
You shall provide truthful, accurate, and complete information during registration and will maintain the security and confidentiality of your account credentials.
You shall not use the Services for any unlawful purpose or in a manner that infringes on the rights of others.

You shall not engage in any of the following prohibited conduct, which shall constitute a material breach of this Agreement:

Harassing, threatening, or defrauding other users, members, or staff of Kuppa or its partner coffee shops.
Reproducing, modifying, preparing derivative works of, or otherwise exploiting any portion of the Services without express written consent from Kuppa.
"Crawling," "scraping," or "spidering" any part of the Services through manual or automated means.
Attempting to reverse engineer, decompile, or otherwise obtain the source code of the App.

4. Promotions and Additional Terms

Kuppa may, from time to time, offer a trial membership that includes access to the App and its features during a trial period. These offers and promotions (collectively, "Promotions") may be subject to specific, additional terms.

Trials: Trials are intended for new users who have never held a Kuppa account before. The features available during your trial may differ from those of a regular subscription. A trial automatically converts to a regular monthly subscription at the end of the trial period unless you cancel it beforehand. You understand and agree that it is a violation of these Terms to sign up for a trial if you have signed up for an account or trial in the past, or to have more than one account. Kuppa reserves the right, in its sole discretion, to determine your eligibility for a trial and may terminate your promotional subscription if you violate these Terms, in which case you will not be eligible for a refund.

Other Promotions: Kuppa may offer additional types of offers and promotions, such as incentives for referring friends, which will be subject to separate terms and conditions that we will provide.

5. User Submissions and License Grant

The Services may allow you to submit content, including ratings, reviews, and other information ("User Submissions").

Responsibility for Submissions: You are solely responsible for all User Submissions that you post, upload, or otherwise provide. You represent and warrant that you have all rights necessary to grant the licenses hereunder without infringement or violation of any third-party rights.

License Grant: By submitting User Submissions, you hereby grant Kuppa a worldwide, non-exclusive, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, publicly display, and otherwise exploit the User Submissions in connection with the Services and Kuppa's business, for any purpose, including marketing and promotion. You acknowledge that Reviews may be made public without any additional notice to or consent by you.

6. Disclaimer of Warranties and Limitation of Liability

The Services are provided on an "as is" and "as available" basis, without any warranties of any kind.

Disclaimer of Warranties: TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, KUPPA HEREBY DISCLAIMS AND EXCLUDES ALL WARRANTIES, WHETHER STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Kuppa does not warrant that the Services will be uninterrupted, error-free, or secure.

Limitation of Liability: UNDER NO CIRCUMSTANCES SHALL KUPPA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. The total cumulative liability of Kuppa for any claim arising out of or related to this Agreement shall be limited to the amounts, if any, paid by you to Kuppa in the twelve (12) months immediately prior to the event giving rise to the claim.

Disclaimer of Promotions & Discounts: Kuppa reserves the right to suspend, modify, or terminate any promotional or discount program, or the availability of any specific discount, at any time and without prior notice, in its sole discretion. Kuppa shall not be liable for any losses or damages arising from the unavailability of any discount.

7. Indemnification and Release

You agree to indemnify, defend, and hold harmless Kuppa, its directors, officers, and employees from any claims, actions, suits, costs, expenses, damages, and liabilities (including legal fees) arising from your use of the Services, your User Submissions, your violation of this Agreement, or your violation of the rights of any third party.

You understand and agree that Kuppa is not responsible for the quality of products or services offered by its partner coffee shops. You hereby waive and release Kuppa from any and all claims, demands, and damages of every kind or nature, known or unknown, arising out of or in any way related to your interactions with partner coffee shops.

8. Arbitration Agreement and Class Action Waiver

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be submitted to confidential, binding arbitration.

Waiver of Jury Trial: YOU AND KUPPA WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO A TRIAL BY JURY. Arbitration procedures are typically more limited, more efficient, and less costly than litigation in court.

Waiver of Class Action: ALL CLAIMS AND DISPUTES SHALL BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. You and Kuppa agree that no claim or dispute of more than one customer or user shall be arbitrated or litigated jointly or consolidated with the claims of any other user.

9. Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. All arbitration proceedings shall take place in London, England. This Agreement constitutes the entire agreement between you and Kuppa concerning the subject matter hereof and supersedes all prior agreements. If any provision is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary. You may not assign this Agreement without Kuppa's prior written consent. Kuppa may assign this Agreement at its sole discretion.
